Terms of Service for Profit Revive LLC

Welcome to Profit Revive LLC ("Service Provider," "we," "us," or "our"). By accessing or using our website design, development, and marketing services ("Services"), you ("Client") agree to these Terms of Service ("Agreement"). If you do not agree, please refrain from using the Services. This Agreement, along with our Privacy Policy, constitutes the entire understanding between you and Profit Revive LLC.
1. Scope of Work
Profit Revive LLC agrees to perform the services outlined in the mutually agreed-upon project proposal or statement of work, including but not limited to:
Professional, seamless website design.
Dynamic functionality for desktop and mobile devices.
Brand-aligned verbiage and design features.
Workflow automation, CRM setup, and other agreed-upon deliverables.
Any requests for additional features or revisions beyond the agreed scope will be billed separately:
Additional Pages: $500 per page.
Additional Revisions: $80/hour.
2. Payment Terms
Fees: Pricing for website design starts at $3,000, with specific details outlined in the project proposal.
Payment Schedule:
50% deposit due upon signing to initiate the project.
50% final payment due upon project completion and before deliverables are transferred.
Payment Method: Payments must be made via invoice (ACH, credit card).
Non-Refundable: Payments are non-refundable except as outlined in this Agreement.
3. Project Timeline
The Service Provider will deliver the completed website by the agreed deadline, provided the Client supplies all necessary content, materials, and approvals on time.
Delays caused by the Client may result in adjustments to the timeline.
4. Ownership and Use Rights
Ownership: Upon full payment, the Client will own the final website design and content.
Portfolio Use: Profit Revive LLC retains the right to use screenshots, images, and domain names from the project for marketing and portfolio purposes.
5. Client Responsibilities
The Client agrees to:
Provide all required content, logos, images, and other materials in a timely manner.
Ensure all provided materials comply with copyright and applicable laws.
Respond promptly to communications and approvals to avoid project delays.
6. Revisions
Up to 4 rounds of revisions are included in the website project fee.
Additional revisions will be billed at $60/hour.
7. Additional Services
Services not included in the standard website project fee are available upon request and billed separately. These include:
Chat widget automation.
Customer support tools.
CRM setup and integration.
Workflow automation.
Pipeline creation.
Pricing for additional services will be outlined in a separate agreement if requested.
8. Confidentiality
Both parties agree to maintain the confidentiality of all proprietary information shared during the project.
9. Termination
Either party may terminate this Agreement with written notice.
If the Client Terminates: The Client is responsible for payment for completed work up to the termination date.
If Profit Revive Terminates: The Service Provider will refund any unearned fees and deliver completed work.
10. Limitation of Liability
Profit Revive LLC will not be liable for any indirect, incidental, or consequential damages arising from the use or inability to use the delivered website or services.
11. Governing Law
This Agreement is governed by the laws of the State of Wyoming, without regard to its conflict of law principles.
12. Entire Agreement
This Agreement constitutes the entire understanding between Profit Revive LLC and the Client, superseding all prior agreements, representations, and understandings.
Acknowledgment
By engaging with Profit Revive LLC, you acknowledge that you have read, understood, and agree to the terms outlined in this Agreement.
